  • Aligning Capital Structure with Strategic Objectives

    The optimal capital structure for a company is dependent on the company's risk, cost of funds, credit rating objectives, appetite for acquisitions, tax strategy and a variety of other factors. Recent shifts in the debt market and the increasing importance of private equity add additional elements to the capital structure decision. Many companies consider these factors and then settle on capital structures that appear hard to justify. For instance, companies in the technology and pharmaceutical industries have capital structures that are heavier on cash and lighter on debt than corporate finance theory would suggest. What are the reasons given for these capital structures? Are these reasons valid? The discussion in this session will cover the application of the "theory vs. the reality" of capital structure decision-making at two of the largest US technology companies.
